1.总则
澳大利亚华人建筑商协会
    澳大利亚房地产业对澳大利亚经济的健康发展至关重要。2014年,澳洲华侨与华人业已成为澳洲房地产业的主要驱动力和重要参与者。评论家认为,澳洲华人社区将继续与澳洲房地产业携手奋进,共谋发展。
    华人及其他亚洲人正积极推动澳洲房地产业的繁荣昌盛。时下,新型房地产业拥有如下
三大产业群:
·  开发商;
·  建筑商;
·  地产代理商
    澳大利亚华人建筑商协会旨在推动上述三大产业群实现发展目标,并同时提供与澳洲房地产行业华人影响力相匹配的公共舆论。
2.宗旨
    澳大利亚华人建筑商协会的宗旨是:
·  为会员获取信息与建议提供支持,帮助会员提升业绩或解决困难;
·  提供获取教育服务的途径,帮助会员赢得获取竞争优势的最大机遇;
·  提供获取资源、促进增长的途径;
·  建立网络支持体系,以及
·  建立有助提高会员信誉的设施。
3.会员类别
    澳大利亚华人建筑商协会将设立三个会员类别:
·  开发商;
·  建筑商;
·  地产代理商
    只要会员大会做出决议且该决议获半数以上会员支持,澳大利亚华人建筑商协会即可设立任何新的会员类别或会员。
    每个会员类别将在澳大利亚华人建筑商协会的框架下成立分会组织,并向理事会提供咨询和指引。
4.入会条件
    只要满足如下条件,任何人均可成为澳大利亚华人建筑商协会的会员:
·  其所经营的企业或所从事的行业属于本协会会员类别之一者;
·  其是中国人或中国人的后代;
  澳大利亚华人建筑商协会可邀请不符合上文所载之会员资格、但确信能够助力本协会发展的任何个人入会。
    本协会可自行酌定,为任何公司、机构或组织创建附属会籍,并为该等附属会员设立会费标准与会员职责。
5.入会程序
    个人可籍由如下方式成为澳大利亚华人建筑商协会的会员:
。  填写澳大利亚华人建筑商协会入会申请表;并
·  支付入会费;并
·  支付年费。
    凡有下列情节之一者,理事会有权拒绝任何申请:一
·  该会员可令本协会声誉受损;
·  批准入会可令某名会员拥有与其他会员不成比率的权力;
·  该会员在任何州、地区或联邦辖区内业已丧失持有牌照或任何证书的资格;
6.会费标准
澳大利亚华人建筑商协会入会申请表中将列示会费标准。
本协会有权随时酌情豁免、变更或降低会费标准。
7.会员资格期限
    本协会会员资格期限为十二(12)个月。会员须在不迟于年度会员大会召开前七(7)天办理会籍延续手续。
8.延续会籍
    会员可采取以下方式延续会籍:
·  填写澳大利亚华人建筑商协会入会申请表;且
·  支付年费。
    如需办理会箱延续手续,本协会须在不迟于年度会员大会召开前七(7)天收到上述表格与款项。
如果会员未能在截止日期之前办理会籍延续手续,则须支付入会费。
9.会员登记
    秘书长将保存所有现有成员的名录,供所有理事会及会员大会使用。该名录将涵括以下信息:一
·  会员姓名;
·  所属会员类别;
·  会员联系方式;
·  是否缴清会费
10.服务
    本协会将提供在《会员权益说明》中列载的服务。本协会必须在会员入会后的七日内向会员提供一份《会员权益说明》。本协会可随时修订《会员权益说明》,以此更新或增加服务内容。
    《会员权益说明》将保存在活页夹内。如遇《会员权益说明》更新,本协会将针对特定产品向每位会员发送一份权益说明更新内容。本协会会员有责任将该份权益说明更新内容插入《会员权益说明》文件夹中。
11.理事会的权利
    理事会拥有澳大利亚华人建筑商协会的所有权力,但以下情形除外:一
·  本章程建议超过50%票数投票赞成方可通过的决议案;
·  临时会员大会己将某项决议提呈理事会,则理事会无权以特定方式行事。
12.理事会
    本协会理事会将由九名成员组成:一
。  一名会长;
·  一位秘书长;
·  一名财务长;及
·  从每个会员类别中推选的两名会员。
    会长、秘书长和财务长将由年度会员大会选举产生。
    年度会员大会召开后二十八(28)日内,各分会应召集会议并向理事舍推选两名代表。
1 3.公关委员
    根据《1984年协会与公司法》,年度会员大会应选举产生一名公关委员。
14.会员大会
    本协会将每十二(12)个月召开一次年度会员大会。首次会员大会召开之后的十- (11)至十三(13)个月内应召集第二届及随后的会员大会。
    秘书长将向所有会员发放会议通知,并列明如下事项:一
·  年度会员大会召开的地点、日期和时间;并
·  随附年度会员大会的议程。
    会议通知须在不迟于年度会员大会召开前十四(14)天发放。
    惟有业已办理会籍延续手续的会员方才有权在年度会员大会投票。
    与会人数不足大会法定人数时,不得召开会员大会。会员大会须有50%以上拥有表决权的会员出席方能召开。会员无权委托代理人行使表决权。
会议须由上一年度接受委任的会长主持。
秘书长将记录并形成会议纪要,以供所有年度会员大会使用。
15.临时会员大会
    理事会可随时召集临时会员大会,但必须提前十四(14)天通知所有会员。该等通知惟有满足以下条件方才有效:一
·  通知列载了会议召开的地点、日期和时间;且
·  随附临时会员大会的议程。
I郇寸会员大会须有50%以上会员出席方能有效召开。
会议将由会长主持。
秘书长将记录并保存会议纪要,以供所有临时会员大会使用。
16.理事会的职责
    本协会会长的职责是主持澳大利亚华人建筑商协会及其理事会的所有会议。此外,会长还负责监督并盗管本协会经营状况。
    秘书长负责:一
·  会议通知;
·  保存所有会议纪要;
·  代表澳大利亚华人建筑商协会签发信函;
·  维护会员名录;
·  保存所有往来信件登记簿。
    财务长负责监督本协会的财务管控情况与财务报告。
    理事会可根据需要定期召集会议,但必须提前三(3)天发放会议通知。会议须有三分之二以上理事出席方能召开。
1 7.章程修订

    本章程的修订必须提交临时会员大会或年度会员大会讨论。本章程的修订必须经出席会员60%以上多数通过方得生效。

AUSTRALIAN CHINESE BUILDING ASSOCIATION  
CONSTITUTION


1. PREAMBLE 
The property industry in Australia is vital to the wealth and health of the Australian economy.  Australian born Chinese and ex-patriots of Chinese people in 2014 are major drivers and participants in the property industry.  It is envisaged by commentators that the success of Australian property industry works in parallel with the Australian Chinese community.
 
Chinese and other Asians are participating heavily in the property industry.  The new property industry has five major industry groups:-
 
·      Property Investment Developers;
·      Licensed Builders and Tradesmen
·      Building Suppliers
·      Licensed Real Estate Agents
·      Legal Advice
 
The Australian Chinese Building Association has been formed to facilitate the objectives of these three groups and to provide a public voice equivalent to the Chinese influence in Australian property society.


2. OBJECTIVES
The objectives of ACBAI are:
 
·      To provide support so that members have access to information and advice that will assist them to enhance their business or manage difficulties;
·      To provide access to educational services to provide the greatest opportunity for members to reach a cutting edge;
·      To give access to resources that enhance growth;
·      To establish a network support system, and
·      To establish facilities that will enhance the credibility of members.


3. CATAGORY OF MEMBERS 
ACBAI will create three membership categories:-
 
·      Property Investment Developers;
·      Licensed Builders and Tradesmen
·      Building Suppliers
·      Licensed Real Estate Agents
·      Legal Advice
 
ACBAI can create any new categories or members provided the decision is made by a general meeting and supported by at least 50% of members.
 
Each category will form its own chapter under ACBAI and provide consultation and direction to the Executive.


4. WHO CAN BE A MEMBER
Any person may be a member of ACBAI provided that:-
 
·      He or she operates a business within the categories of membership or works in an industry representing one of the categories of membership;
·      He/she is Chinese or is of Chinese decent.
 
ACBAI may invite any person who believes will assist in the growth and development of ACBAI to become a member who did not fall within the eligibility list set out above.
 
The association may create an affiliate membership for any corporation, body or organisation that it wishes and set out the fees and obligations of such affiliate members.


5. HOW DO YOU BECOME A MEMBER
A person can become a member of ACBAI by:
 
·      Completing the ACBAI application form; and
·      Paying a joining fee; and
·      Paying an annual subscription.
 
The Executive is empowered to reject any application where:-
 
·      The member may bring ACBAI into disrepute;
·      Approving the membership will give one member disproportion of power over others;
·      The person has been disqualified from holding a Licence or any accreditation in any State, Territory or Commonwealth jurisdiction.


6. WHAT ARE THE FEES
The fees will be set out on the ACBAI application form.
 
ACBAI has the discretion to waive, vary or reduce fees at any time.


7. TERM OF MEMBERSHIP
Membership is for a twelve (12) month period. Membership must be renewed seven (7) days prior to the Annual General Meeting.


8. RENEWAL OF MEMBERSHIP
A member can renew its annual membership by:
 
·      Completing the ACBAI renewal form; and
·      By paying the annual subscription.
 
A membership can only be renewed if the form and payment set out above are received seven (7) days before the Annual General Meeting.
 
If a member fails to renew their membership by the due date the joining fee will apply.


9. REGISTER OF MEMBERS 
The secretary will retain a directory of all current members that will be available at all executive and general meetings.  The directory will include:-
 
·      The name of the member;
·      The category of member he/she belongs;
·      The contact details of the member;
·      Whether he/she fees are paid up to date


10. SERVICES
ACBAI will deliver services that are set out in the directory of membership benefit statements.  ACBAI must provide to every member, a directory of member benefit statements within seven days of a person joining ACBAI.  ACBAI may from time to time vary the directory of membership benefit statements by varying the services or adding services.
 
The Directory of membership benefit statements will be retained in a loose leaf service.  When the directory of membership benefit statements is updated, ACBAI will send an updated benefit statement for the specific product to each member.  It will be the member’s responsibility to insert the updated benefit statement in the directory of membership benefit statements folder. 
 
11. POWERS OF THE EXECUTIVE
The Executive has all the powers of the ACBAI except where:-
 
·      This constitution advise a vote of more than 50% for the passing of resolution;
·      Where an extraordinary General Meeting has passed a resolution to the Executive is not empowered to act in a particular way.


12. EXECUTIVE
The Executive will be made up of odd number members:-
 
·      A Share person;
·      A Secretary;
·      A Treasurer; and
·      Two members from each of the membership category group.
 
The Chairman, Secretary and Treasurer will be elected at the Annual General Meeting. 
 
Within twenty eight (28) days from the Annual General Meeting, each division will meet and elect the two delegates to the Executive.


13. PUBLIC OFFICER 
A public officer will be elected by the Annual General Meeting for the purposes of the Associations and Corporations Act, 1984.


14. CONDUCT OF GENERAL MEETINGS 
An Annual General Meeting will be held every twelve (12) months.  The second and subsequent General Meetings will be held between eleven (11) and thirteen (13) months after the first Annual General Meeting.
 
The Secretary will issue to all members a Notice advising of the following:-
 
·      The venue, date and time of the Annual General Meeting; and
·      Containing an agenda for the Annual General Meeting.
 
The notice must be issued no later than fourteen (14) days prior to the Annual General Meeting.
 
The only persons entitled to vote at an Annual General Meeting are those who have renewed their membership.
 
A meeting cannot be held without a quorum of members.  A quorum of members is made by 50% of the members entitled to vote attending the meeting. 
 
No member will be entitled to vote by proxy.
 
The meeting shall be chaired by the Chairperson appointed for the previous year.
 
The Secretary will record minutes to be kept for all Annual General Meetings.


15. EXTRORDINARY GENERAL MEETINGS
The Executive may call an Extraordinary General Meeting at any time provided fourteen (14) days notice is provided to all members.  The notice is only valid if:-
 
·      The notice contains the venue, date and time of the meetings; and
·      An agenda of the business which is to be conducted at that meeting is set out.
 
An Extraordinary General Meeting must have at least 50% of members present per meeting to be validly held.
 
The meeting will be chaired by the Chairperson.
 
The Secretary will record minutes to be kept at every Extraordinary General Meeting.


16. ROLES OF THE EXECUTIVE 
The role of the Chairperson is to share all meetings of ACBAI and the Executive.  The Chairperson is also responsible for the oversight and supervision of the conduct of the business of ACBAI.
 
The Secretary is responsible for:-
 
·      The notices of meetings;
·      Keeping minutes of all meetings;
·      Issuing correspondence on behalf of ACBAI;
·      Maintaining the directory of membership;
·      Keeping a registry of all correspondence, incoming and outgoing of ACBAI.
 
The Treasurer is responsible for overseeing the financial control and financial reporting of ACBAI.
 
The Executive can meet as regularly as necessary provided three (3) days notice is provided of the meeting.  Meetings must contain a quorum, which is constituted by two thirds of the Executive.
 
17. AMENDMENT
 
This constitution can only be amended at an Extraordinary General Meeting or an Annual General Meeting.  To amend this constitution, at least 60% of voting members present must be in favour of the amendments.
